TERMS & CONDITIONS
These Terms & Conditions (“Terms”) govern all business relationships between Texpro Solutions Sp. z o.o., operating under the brand DTB EU, and the Client. By accessing the DTB EU website, creating an account, submitting artwork, requesting a quotation, or placing an order, the Client agrees to be bound by these Terms.

1. DEFINITIONS
1.1 “Company”, “We”, “Us”, “Our” refers to:

Operating as DTB EU (dtbeu.com)
1.2 “Client”, “Customer”, “You” means any business entity, reseller, agency, distributor, or organisation purchasing products or services from the Company.
1.3 “B2B Only” means DTB EU operates solely for business use. No consumer rights apply.
1.4 “Platform” refers to dtbeu.com and its associated ordering, artwork upload, quotation, and account management systems.
1.5 “Products” means all blank goods, apparel, bags, textile items, and promotional merchandise offered by the Company.
1.6 “Decoration Services” means all print and branding services including screen printing, DTF, DTG, sublimation, transfers, embroidery, engraving, embossing, or any modification to Products.
1.7 “Order” means any confirmed request for Products or Decoration Services.
1.8 “Proof”, “Visual”, “Mock-Up” refers to pre-production artwork previews supplied by the Company.
1.9 “Bespoke / Custom-Made Products” means made-to-order or manufactured items, including Made-in-Europe goods, custom size/colour items, and stitched products.
1.10 "Working Days" excludes weekends and Polish national holidays.
1.11 “Intellectual Property” means all designs, copyrights, trademarks, logos, and creative assets submitted by or on behalf of the Client.

2. SCOPE & ACCEPTANCE
2.1 These Terms apply to all quotations, Orders, services, artwork submissions, deliveries, warehousing, and all interactions between the Client and the Company.
2.2 By using the Platform, requesting a quotation, or placing an Order, the Client agrees to these Terms in full.
2.3 No Client terms (including PO terms, emails, or verbal conversations) override these Terms unless expressly agreed in writing by the Company.
2.4 The Company may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.

3. QUOTATIONS & PRICING
3.1 Quotations are valid for 14 days, unless stated otherwise.
3.2 Prices may include Product cost, decoration fees, set-up charges, colour matching, custom packaging, warehousing, fulfilment, logistics, and/or duties (if DDP applies).
3.3 Unless otherwise stated, prices exclude VAT.
3.4 The Company may modify pricing due to:
•    Material price changes
•    Currency fluctuations
•    Updated artwork requirements
•    Misquoted details based on incorrect Client specifications
•    Increases in freight or production costs
•    Rapidly changing market conditions (e.g., cotton, polyester, energy)
3.5 Stock is not reserved until the Company issues an Order Confirmation.
3.6 Obvious pricing errors may be corrected prior to Order Confirmation.

4. ORDER PROCESS & CONTRACT FORMATION
4.1 An Order becomes binding when:
•    The Company issues a written Order Confirmation
•    The Client approves proofs (if applicable)
•    Required payment is received (if applicable)
4.2 The Client is fully responsible for verifying product model, colours, sizes, print areas, artwork, and delivery details before final approval.
4.3 Changes after Order Confirmation may:
•    Affect price
•    Delay production
•    Be rejected if production has begun
4.4 The Company may reject an Order if:
•    Artwork infringes IP rights
•    Payment risk is identified
•    Stock is unavailable
•    Production capacity is full
•    The goods violate legal or ethical restrictions
4.5 Client purchase orders do not constitute acceptance until the Company confirms in writing.
4.6 Minimum order quantities may apply depending on the Product and decoration method.

5. PRODUCT INFORMATION & SPECIFICATIONS
5.1 The Company strives to maintain accurate product descriptions, material specifications, colours, and dimensions.
5.2 Minor variations in:
•    Colour
•    Size (1–3%)
•    Shade
•    Fabric weight
•    Texture
•    Printability
are inherent to manufacturing and are not considered defects.
5.3 Digital colours displayed on screens may differ from final printed colours.
5.4 The Company reserves the right to update or improve Products without prior notice.

6. ARTWORK, DECORATION & PRINT RULES
6.1 The Client must supply:
•    High-resolution artwork
•    Vector files where required (AI, EPS, PDF)
•    Pantone codes for precise colour references
•    Print-ready files
6.2 The Company may adjust artwork for printability but is not responsible for correcting design errors.
6.3 Production will not begin until the Client approves the Proof.
6.4 Approval of the Proof is final, confirming:
•    Placement
•    Size
•    Colours
•    Orientation
•    Spelling
•    Artwork details
6.5 The Company is not liable for print issues resulting from poor-quality artwork supplied by the Client.
6.6 Due to production limitations:
•    Print alignment may vary by 3–5 mm
•    Colour shift may occur (up to 10%)
•    Small text, thin lines, gradients, or fine details may not render perfectly
•    Artwork on seams, zippers, or irregular surfaces may distort
These are industry-standard tolerances.

7. PRODUCTION LEAD TIMES
7.1 Lead times provided are estimates, not guarantees.
7.2 Lead time begins once:
•    Artwork is approved
•    Payment (if required) is received
•    Stock allocation is confirmed
7.3 The Company is not responsible for delays caused by:
•    Courier delays
•    Customs clearance
•    Client’s delayed approval
•    Incomplete artwork
•    Force majeure
•    Delayed payment
•    Supply chain disruptions

8. PRODUCTION TOLERANCES
8.1 Standard quantity tolerance: ±5%.
8.2 Print placement tolerance: 3–5 mm variation.
8.3 Colour tolerance:
•    Fabrics vary by batch
•    Pantone matching is available only when explicitly purchased
8.4 These tolerances apply universally and do not qualify as defects.

9. BESPOKE / CUSTOM-MADE PRODUCTS
9.1 Bespoke manufacturing includes:
•    Custom dimensions
•    Custom stitching
•    Fabric dyeing
•    Full sublimation
•    Made-in-Europe manufacturing
•    Any product created exclusively for the Client
9.2 Bespoke orders cannot be cancelled once production begins.
9.3 Deposits for bespoke orders are non-refundable.
9.4 Tolerances for bespoke products may be higher (±5–7%).

10. PACKAGING, STORAGE & WAREHOUSING
10.1 Additional services may include:
•    Bulk packing
•    Custom packaging
•    Pick & pack
•    Relabeling
•    Warehouse storage
•    Palletisation
10.2 Unless otherwise agreed, goods stored beyond the included period may incur storage fees.
10.3 Goods stored in the warehouse remain at the Client’s risk.

11. DELIVERY, SHIPPING & RISK
11.1 Risk transfers to the Client once goods are handed over to the courier.
11.2 The Company is not responsible for:
•    Delays caused by carriers
•    Customs issues
•    Lost or damaged shipments after handover
•    Incorrect delivery information supplied by the Client
11.3 For DDP deliveries:
•    Duties are prepaid by the Company
•    Actual customs charges are re-invoiced to the Client
•    Storage or return fees due to customs issues are Client’s responsibility

12. PAYMENT TERMS
12.1 New Clients must prepay unless a credit agreement exists.
12.2 Credit terms may be offered at the Company’s discretion.
12.3 Late payments incur statutory interest.
12.4 Invoices may be issued in PLN or EUR.

13. ORDER CANCELLATIONS
13.1 Orders cannot be cancelled once:
•    Artwork is approved, or
•    Production has begun
13.2 Orders already in production are fully chargeable.
13.3 Bespoke orders are non-cancellable from the moment material procurement begins.

14. RETURNS & CLAIMS
14.1 Customized goods are non-returnable.
14.2 Claims must be submitted within 7 days of delivery and include:
•    Photos
•    Invoice or Order number
•    Description of the issue
14.3 Valid claims may result in:
•    Reprint
•    Partial credit
•    Replacement
14.4 Claims will not be accepted for:
•    Minor colour variations
•    Print shifts within tolerance
•    Incorrect artwork supplied by Client
•    Damage caused by courier
•    Wear and tear
•    Failure to follow care instructions

15. INTELLECTUAL PROPERTY
15.1 The Client warrants they own or have licensing rights for all artwork provided.
15.2 The Client shall indemnify the Company for any IP infringement claims.
15.3 The Company may use finished products in portfolio or marketing only with prior written consent.

16. CONFIDENTIALITY
Both parties shall maintain the confidentiality of all business information, artwork, pricing, and specifications.

17. DATA PROTECTION (GDPR)
Personal data processing is governed by the Company’s Privacy Policy and the Data Processing Agreement (DPA).

18. LIMITATION OF LIABILITY
18.1 The Company is not liable for:
•    Loss of profit
•    Loss of business
•    Indirect or consequential losses
•    Courier delays
•    Inaccuracies resulting from poor artwork supplied by the Client
18.2 Maximum liability is limited to the value of the defective portion of the Order.

19. FORCE MAJEURE
The Company is not liable for delays or non-performance caused by events beyond reasonable control, including:
•    Natural disasters
•    Strikes
•    War
•    Pandemics
•    Transport disruptions
•    Raw material shortages

20. GOVERNING LAW & JURISDICTION
These Terms are governed by Polish law.
Any disputes shall be resolved in the courts of Łódź, Poland.
